Thrive Holdings has agreed to buy ADT. ADT sells systems to help keep homes safe in the United States. Thrive will pay $10 in cash for each share, or small part of the company. This puts the value of ADT's shares at about $7.6 billion. The total deal value is $15.3 billion.
Thrive Holdings owns more than 75 businesses. It plans to keep its companies for a long time and improve them with artificial intelligence, or AI. OpenAI puts money into Thrive Holdings. It also gives Thrive's companies AI tools and sends engineers to help them.
ADT will become the base of Thrive's home security business. Thrive says new technology could reduce false alarms. It could also give customers more useful warnings and find problems with equipment earlier. The companies say ADT's rules for customer data will stay the same. They will not share new data without customers' permission.
Funds linked to Apollo Global Management will provide all the money for the deal. ADT's owners and US officials must still approve it. The companies expect to finish the sale in the first three months of 2027.
