Thrive Holdings has agreed to buy US home security company ADT for $10 a share in cash. The offer values ADT’s shares at about $7.6 billion. It is 45.6% above the share price at the close of trading on 27 October.
ADT’s board has approved the deal, but shareholders and US competition regulators must also agree. The companies expect to complete the sale in the first quarter of 2027. ADT can seek better offers until 28 November, with a possible ten-day extension for some buyers. Its shares will stop trading once the sale is complete.
Thrive Holdings owns more than 75 businesses and plans to keep companies for the long term. OpenAI is both an investor and a partner, supplying AI models and engineers to Thrive’s businesses. ADT will form the foundation of its smart home security business.
Thrive says new technology could reduce false alarms, provide more useful alerts and identify faulty equipment earlier. The companies say ADT’s data and privacy policies will remain unchanged, and any new data sharing will require customers’ permission. ADT technicians already sell and install Google Nest devices and Apple’s new smart home products.
